Terms of Service (Public Offer)

1. Terms and Definitions

• Service: the Roomix web application available at https://roomix.space, providing functionality for communication between interior designers and their clients
• User: an individual aged 18 years or older who has registered in the Service or uses the Service by invitation of a registered User
• Designer: a User who registered independently (via Yandex or email) and creates projects in the Service
• Client: a User invited by a Designer to a specific project
• User Content: any data, files, messages, documents uploaded or created by a User in the Service
• Approval: a legally significant act of a Client to accept or reject a Designer's proposal in a project

2. Subject Matter of the Offer

The Provider grants the User access to the Service functionality under the terms of this offer:

• Creating and managing interior design projects
• Chat communication between Designer and project Clients
• Approval system for collages and visualizations with a legally significant timestamp
• Storage and exchange of project files (collages, visualizations, documents)
• Management of project stages and deadlines
• Push and email notifications about project events

Access to the Service is provided via web browser or installed PWA application. Technical requirements: modern browser (Chrome, Safari, Firefox, Edge) within the last two versions, active internet connection.

3. Service Use License (EULA)

In accordance with Art. 1286 of the Civil Code of the Russian Federation, the Provider grants the User a simple (non-exclusive) license to use the Service functionality on the following terms:

• Term: for the entire duration of the User's account
• Territory: worldwide, where the Service is available
• Permitted uses: rendering of the Service in a browser / PWA, using its functionality for its intended purpose
• The license does NOT grant rights to: modify the Service source code, reverse engineer it, create derivative works, sublicense, transfer the account to third parties, automate data collection (scraping) without the Provider's written permission
• All exclusive rights to the program code, design system, the "Roomix" trade name and graphic elements belong to the Provider

4. Registration and Account

• Designer registration is performed via Yandex OAuth or by email (password or sign-in link).
• Clients enter the Service by Designer invitation (magic link). No separate Client registration is required.
• Upon registration the User is required to provide accurate data. Using other people's data is prohibited.
• The User is required to maintain the confidentiality of access to their account and sign-in methods. Any actions taken from the User's account are deemed to be taken by the User themselves.
• Creating multiple accounts by one person to circumvent plan limits or the approval system is prohibited.
• Minimum User age: 18 years.

5. Pricing, Payment, Renewal and Refund

The Service is provided on a free plan with limits, as well as paid plans that extend the limits on active projects, file storage size, and the number of team member seats. Current pricing for plans and add-ons is published in the Service.

Payment is made in advance for the selected billing period: one month or one year. An annual subscription is paid in a single upfront charge for 12 months at a reduced price (annual payment discount). Payments are processed through a connected payment provider; after payment, the User receives a fiscal receipt in accordance with Federal Law No. 54-FZ at the specified email address.

A monthly subscription renews automatically by recurring charge to the linked bank card until cancelled by the User in the Service settings. An annual subscription does not renew automatically: 7 calendar days before the paid year ends, the Provider sends a reminder, and the User renews it manually.

Add-ons (team member seats, storage volume) connected at the moment of purchasing the annual subscription remain active for the paid year at the reduced annual price. Add-ons connected during an already-paid year are charged without the annual discount for the remaining term.

The User may withdraw from the Service at any time. Upon cancellation of a monthly subscription, automatic renewal stops and access to the paid plan remains until the end of the paid billing month, after which the account is switched to the free plan. The cost of the commenced billing month is non-refundable. Upon cancellation of an annual subscription, the Provider refunds the cost of the unused period less the cost of services actually rendered, calculated at the current price of the corresponding monthly subscription without the annual discount, for each commenced month of use. Refunds are made based on the User's written request sent to roomixsupp@gmail.com within 10 (ten) business days of receiving the request, using the same method as the original payment. The cost of add-ons and one-time services for the period actually provided is non-refundable.

The Provider notifies the User about changes to pricing terms at least 14 calendar days in advance via email or in-app notification. If the User disagrees, they may stop using the Service before the changes take effect.

6. Rights to User Content

• All rights to Content uploaded by the User to the Service remain with the User. The Provider makes no ownership claims to the Content.
• The User grants the Provider a simple non-exclusive license for technical operations with the Content necessary for the Service to function: storage, displaying to project participants, backup, indexing for search.
• Files and messages are accessible only to participants of the corresponding project.
• Records of approvals (who approved, when, with what comment) are legally significant acts and are retained indefinitely even after deletion of the User's account, to protect the rights of project parties (Clause 6, Art. 5 of 152-FZ; performance of the contract between Designer and Client).
• The User confirms that they hold all necessary rights to the uploaded Content and its publication does not infringe third-party rights.

7. Restrictions and Prohibitions

When using the Service, the following is prohibited:

• Using the Service for activities violating the laws of the Russian Federation
• Uploading malicious code, viruses, or any files that may harm the Service or other Users
• Attempting to gain unauthorized access to other accounts or projects
• Using the invitation system to send spam or unsolicited correspondence
• Uploading materials infringing third-party intellectual property
• Publishing offensive, discriminatory, or extremist content
• Using the Service for automated data collection without the Provider's written permission

8. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. The Provider is not liable for:

• Temporary service interruptions, scheduled and emergency maintenance
• Actions of third parties (OAuth providers, hosting providers, telecom operators)
• Data loss due to force majeure
• Direct or indirect damages, lost profits, moral damages of the User related to use or inability to use the Service
• The accuracy, lawfulness or quality of Content uploaded by Users

The cumulative liability of the Provider under this offer may not exceed the User's payments for the last 12 months of using the Service (zero for free plan).

9. Termination and Account Deletion

• The User may delete their account at any time via profile settings. After deletion, the data is available for restoration for 30 days, then permanently deleted (see Privacy Policy, Section 8).
• The Provider may block or delete the User's account in case of violation of this offer, the laws of the Russian Federation, or third-party rights.
• Upon termination, free services end immediately; paid services remain valid until the end of the paid period. The refund procedure for early cancellation is defined in Section 5 of this offer.

10. Applicable Law and Dispute Resolution

This offer is governed by the laws of the Russian Federation.

All disputes are resolved through negotiations. If agreement cannot be reached, disputes are subject to consideration in the court at the location of the Provider.

A pre-trial claim procedure is mandatory: claims are sent to roomixsupp@gmail.com, review period is 30 calendar days.

11. Changes to Terms

The Provider may unilaterally amend the terms of this offer. For material changes, the User is notified at least 14 calendar days in advance via email and/or in-app notification. Continued use of the Service after the changes take effect constitutes acceptance. The current version is always available at https://roomix.space/terms.
